This Subcontractor Agreement ("Agreement") is between Asset Enterprise LLC ("Contractor"), 3624 Terrace Hill Dr NE, Cedar Rapids, IA 52402, and the subcontractor named below ("Subcontractor").

1. WORK

Subcontractor will perform the work described in each written Work Order issued by Contractor. No work begins without a signed Work Order stating scope, schedule, and pay. Verbal extras are not authorized — additional work requires a written change order before it is performed.

2. INDEPENDENT CONTRACTOR

Subcontractor is an independent contractor (1099), not an employee. Subcontractor provides its own tools, transportation, and supervision methods unless the Work Order states otherwise, pays its own taxes, and carries its own insurance. A signed W-9 is required before the first payment.

3. PAY

Pay rate and terms are set per Work Order. Payment is due within 14 days of verified completion and Contractor's acceptance of the work. Subcontractor submits an invoice with the Work Order number. Defective work must be corrected at Subcontractor's cost before final payment.

4. INSURANCE & LICENSE

For scoped trade work, Subcontractor maintains general liability insurance and provides a certificate of insurance naming Asset Enterprise LLC as certificate holder. Workers' compensation coverage or a valid exemption must be documented. Trade licenses required by Iowa law must be current; license numbers are kept on file.

5. SAFETY

Subcontractor follows all OSHA and site safety rules, provides PPE for its people, and stops work immediately on discovering a hazard (including unmarked utilities — call Iowa One Call 811 before any digging). Subcontractor is responsible for the safety of its own crew.

6. QUALITY & SITE CONDUCT

Work is performed in a professional, workmanlike manner. Subcontractor keeps the site clean daily, protects the customer's property, takes progress photos, and communicates delays immediately. No smoking, no alcohol or drugs on site. Customer communication goes through Contractor unless authorized.

7. NON-SOLICITATION

During this Agreement and for 12 months after, Subcontractor will not directly solicit Contractor's customers for work of the type performed under this Agreement.

8. TERM & TERMINATION

This Agreement starts on the date signed and continues until either party ends it with 7 days' written notice. Contractor may stop a Work Order immediately for unsafe work, poor quality, or no-show. Completed, accepted work is always paid.

Non-disclosure agreement

This Non-Disclosure Agreement ("Agreement") is between Asset Enterprise LLC ("Company"), 3624 Terrace Hill Dr NE, Cedar Rapids, IA 52402, and the person or company named below ("Recipient"). It protects the Company's business information shared with Recipient in connection with subcontracted or crew work.

Recipient (name / company):

1. CONFIDENTIAL INFORMATION

Confidential Information means any non-public information of the Company shared with Recipient, including: customer names, addresses, and contact details; bid prices, estimates, costs, and profit margins; supplier and subcontractor rates; business methods, processes, and plans; and any documents marked confidential.

2. RECIPIENT'S OBLIGATIONS

Recipient will: (a) keep Confidential Information strictly confidential; (b) use it only to perform work for the Company; (c) not disclose it to anyone except its own people who need it for the work and who are bound by confidentiality; and (d) not use it to compete with the Company or solicit the Company's customers.

3. EXCEPTIONS

This Agreement does not cover information that is or becomes public through no fault of Recipient, that Recipient already had, or that Recipient is legally required to disclose (with prompt notice to the Company when permitted).

4. RETURN OF MATERIALS

On request or when the work ends, Recipient will return or destroy all documents and copies containing Confidential Information.

5. TERM

This Agreement starts on the date signed. Recipient's confidentiality duties last for 2 years after disclosure.

6. GENERAL

This is the entire agreement on this subject. It is governed by Iowa law. If any part is unenforceable, the rest stands.
